Terms And Conditions

1. Definitions and Interpretation

In these General Terms and Conditions (the "Terms"), unless the context requires otherwise:

  1. "OBINRIN", "we", "us", "our" means OBINRIN Global Venture Limited, a company incorporated in Nigeria, and its permitted successors and assigns.
  2. "Marketplace" means the OBINRIN website, progressive web application and any mobile application, together with the supporting payment, escrow and logistics infrastructure operated by or for OBINRIN.
  3. "Buyer" means any registered user who browses or purchases Products through the Marketplace.
  4. "Vendor" means an independent seller approved by OBINRIN to list and sell Products on the Marketplace.
  5. "Products" means the women-focused consumer goods and services listed for sale on the Marketplace.
  6. "Logistics Partner" means any third-party courier or last-mile delivery service that OBINRIN integrates with or coordinates to deliver Products to Buyers.
  7. "Escrow" means the mechanism by which OBINRIN holds a Buyer's payment until delivery is confirmed or auto-release conditions are met, as described in Section 5.
  8. "Confirmation Code" means the unique code issued to a Buyer to release a Vendor payout on confirmed delivery.
  9. "Trusted Transaction" means an order completed with no dispute, or with a dispute resolved satisfactorily and a positive post-purchase rating.
  10. "NDPA" means the Nigeria Data Protection Act 2023 and regulations issued under it.

2. Introduction and Acceptance

OBINRIN operates a women-first e-commerce Marketplace for the discovery, sale and purchase of women-focused Products in the Federal Republic of Nigeria (the "Territory"). These Terms govern every visit, registration and transaction on the Marketplace and apply to all Buyers and Vendors.

By accessing or using the Marketplace, you accept these Terms in full. If you do not agree to any part of them, you must not use the Marketplace. Where you use the Marketplace for a business or organization, you confirm that you are authorized to bind that entity, that both you and the entity are bound by these Terms, and that "you" includes that entity where the context permits.

3. Eligibility and Registration

You may not register if you are under 18 years of age. By registering you warrant that you are at least 18. When you create an account you agree to:

  1. keep your password confidential and notify us in writing at support@obinrin.ng immediately if you become aware of any unauthorized access;
  2. accept responsibility for all activity on your account arising from a failure to keep your password confidential;
  3. use your account exclusively, and not transfer it to any third party (any authorization you grant a third party to manage your account is at your own risk); and
  4. provide accurate, current and complete information at registration and keep it up to date.

We may suspend or terminate your account in accordance with Section 23. Where we cancel paid services you have not yet received and you have not breached these Terms, we will refund you accordingly. You may request cancellation using the contact details in Section 27.

4. Nature of the Marketplace

You acknowledge and agree that:

  1. the Marketplace provides an online platform for Vendors to list and sell, and for Buyers to browse and purchase, women-focused Products;
  2. OBINRIN facilitates the Marketplace but is not a party to the contract of sale between Buyer and Vendor, unless OBINRIN is expressly identified as the seller; and
  3. a binding contract of sale comes into force between Buyer and Vendor when the Buyer confirms purchase through the Marketplace.

Subject to these Terms, the Vendor's own terms of sale govern each transaction. The following are nonetheless incorporated into every sale: the price is as stated in the listing; prices must include all applicable taxes and comply with Nigerian law; delivery, packaging and handling charges are payable by the Buyer only where clearly stated in the listing; all Products must be of satisfactory quality, fit for their stated purpose and conform in all material respects to the listing; and Vendors warrant good and unencumbered title to physical Products, free of third-party intellectual-property claims or other restrictions.

5. Buyer Protection and Escrow

Escrow protection is the core promise of the Marketplace and is the primary mechanism through which OBINRIN protects Buyers and ensures Vendors are paid for legitimate orders.

How it works:

  1. When a Buyer places an order, the payment is held in Escrow and is not released to the Vendor at that point.
  2. OBINRIN issues a Confirmation Code to the Buyer, and delivery is evidenced by the Logistics Partner's proof of delivery. The auto-release period runs from the confirmed delivery date.
  3. The Vendor payout is released only after the Buyer confirms delivery using the Confirmation Code, or after the auto-release period of 2 days lapses with no active dispute.
  4. A Buyer may raise a dispute before releasing funds. A dispute pauses auto-release and routes the order to OBINRIN's operations team, which aims to respond within a 48-hour service window.

Buyer payments are processed exclusively through OBINRIN's approved payment infrastructure. Buyers and Vendors must not arrange payment outside the Marketplace; doing so removes Escrow protection and is a breach of these Terms (see Section 7 and Section 10).

6. Vendor Eligibility, Verification and Onboarding

  1. To register as a Vendor you must be at least 18, operate a legitimate business providing women-focused Products, and provide accurate, current and complete business and personal information at all times.
  2. OBINRIN operates a structured verification and onboarding process and may approve or decline any Vendor application at its discretion. Verified Vendors are awarded the "Verified by OBINRIN" badge, which signals that the Vendor has passed OBINRIN's checks.
  3. The badge may be suspended or revoked where a Vendor is suspended, ceases to meet the verification standard, or breaches these Terms.
  4. Vendors who do not complete required setup steps within the timeframes communicated by OBINRIN may be suspended or removed.

7. Product Listings, Accuracy and Authenticity

  1. Only women-focused Products approved by OBINRIN may be listed.
  2. Vendors are responsible for maintaining accurate, complete and truthful listings, including clear photographs, sizing information, materials and descriptions.
  3. OBINRIN is committed to the accuracy of the Vendor and Product information published on the Marketplace and may review, correct or remove listings to uphold this standard.
  4. All Products must be authentic.
  5. OBINRIN does not permit the listing or sale of counterfeit, replicated or unauthorized reproductions of branded goods. Items bearing a brand name or logo must be lawfully produced and supplied. The sale of inauthentic goods may expose the Vendor to civil and criminal liability and to legal action by the rightful intellectual-property owner, and OBINRIN will cooperate with the appropriate parties in holding offending Vendors accountable.

Right of return for inaccurate information. Where a Buyer is affected by inaccurate Product or Vendor information published on the Marketplace, the Buyer may return the Product to the extent it is affected by that inaccuracy, in accordance with the Returns, Refunds & Cancellation Policy.

8. Prohibited Items

You must not list or sell:

  1. illegal goods, or items restricted or prohibited under Nigerian law;
  2. counterfeit, pirated or infringing products;
  3. expired, adulterated or unsafe goods;
  4. pharmaceutical products, unless expressly approved by OBINRIN and authorized under applicable Nigerian regulatory requirements;
  5. products that are deceptive, fraudulent or materially misrepresented; or
  6. any product that does not meet OBINRIN's community guidelines or brand values.

OBINRIN may remove any listing that breaches these guidelines, platform rules or applicable law, without notice.

9. Pricing, Commission and Fees

Vendors set their own prices, which must include all applicable taxes and comply with the Federal Competition and Consumer Protection Act 2018 and other relevant Nigerian legislation. OBINRIN deducts commission automatically from each completed transaction at the following rates:

  1. Physical products: 7%-10% of the transaction value
  2. Services: 5% of the transaction value

OBINRIN may revise commission rates on reasonable prior notice to Vendors. A platform protection fee may apply to refunds as set out in the Returns, Refunds & Cancellation Policy.

10. Payments and Payouts

  1. Customer payments are processed exclusively through OBINRIN's approved payment gateway. By using the Marketplace you agree to make and receive payments only through that infrastructure.
  2. Vendor payouts are released following successful order completion in line with the Escrow process in Section 5 and the payout schedule communicated by OBINRIN.
  3. OBINRIN is not responsible for delays caused by third-party banks, payment processors, or incorrect bank details supplied by a Vendor.
  4. You must not contact Buyers or Vendors outside the Marketplace to solicit or facilitate transactions that circumvent the platform's payment infrastructure.

11. Order Fulfilment, Delivery and Risk

  1. Vendors are responsible for accurately preparing each order and handing it over, in good condition, to the designated Logistics Partner (or to OBINRIN's nominated collection point) within the dispatch timeline stated in their listing.
  2. Vendors must maintain adequate stock, communicate proactively on order status, and provide any information the Logistics Partner reasonably requires.
  3. OBINRIN coordinates delivery through vetted third-party Logistics Partners. OBINRIN is not a carrier and does not itself perform delivery. Each Logistics Partner is responsible, under its service-level agreement with OBINRIN, for safe transit, for providing proof of delivery ( photo or GPS confirmation), and for Products lost or damaged while in its custody.
  4. Risk of loss or damage to a Product passes to the Buyer on confirmed delivery. Until then, the Vendor bears the risk of any Product not yet handed to a Logistics Partner, and the Logistics Partner bears the risk of any Product in its custody.


Where a Product is lost or damaged in transit, OBINRIN will, on verification, refund the Buyer from the funds held in Escrow and pursue recovery from the responsible Logistics Partner under its SLA; the Vendor will not be penalized for a failure solely attributable to the Logistics Partner. Where the failure is attributable to the Vendor (including incorrect packing, wrong item, or late handover), the cost is borne by the Vendor. Failure to fulfil orders satisfactorily may result in penalties, suspension or removal from the Marketplace.

12. Returns, Refunds and Cancellations

Returns, refunds and cancellations are governed by OBINRIN's Returns, Refunds & Cancellation Policy, as published on the Marketplace and amended from time to time. Vendors must clearly state their return policies on their storefronts. Notwithstanding a Vendor's policy, OBINRIN may, at its discretion, issue refunds where necessary to protect platform integrity, Buyer trust, or compliance with Nigerian law.

Refunds may be issued in full or in part, may include delivery costs where applicable, and may be made by bank transfer, mobile money, store credit or other method determined by OBINRIN.

13. Disputes and Resolution

Where a Buyer and Vendor cannot reach agreement, OBINRIN may intervene to mediate under its Dispute Resolution Policy. Vendors must cooperate fully with any mediation or investigation. OBINRIN reviews submitted evidence objectively, will favor the party with the clearest and most credible evidence, and issues a resolution (full refund, partial refund, store credit, or rejection). Either party may appeal within the time stated in the Dispute Resolution Policy. External legal action is a last resort following good-faith use of OBINRIN's process.

14. Reviews, Ratings and Your Content

"Your Content" means all text, images, graphics, audio, video, descriptions, prices, reviews, feedback and other material you submit to the Marketplace. Your Content must be accurate, complete, truthful and up to date, and you warrant its accuracy.

Your Content must be civil and consistent with OBINRIN's community values. It must not be offensive, obscene, pornographic or sexually explicit; depict or incite violence; be discriminatory, hateful, harassing or inflammatory; be deceptive, fraudulent, threatening, abusive or spam; or cause needless distress. It must not infringe any intellectual-property right, privacy or data-protection right (including under the NDPA), contractual obligation, court order or Nigerian law.

The review and rating function must be used only for genuine, first-hand Buyer experiences. You must not submit inauthentic or fabricated reviews for your own or any other listing. You must not use the Marketplace to contact users to transact off-platform, to warn users away from any Buyer, Vendor or listing, or to solicit payments outside the designated gateway. OBINRIN may review, edit, unpublish or remove Your Content at its discretion.

15. License to Your Content

By submitting content you grant OBINRIN a worldwide, non-exclusive, royalty-free, sub-licensable license to use, reproduce, store, adapt, publish, translate and distribute Your Content across the Marketplace and OBINRIN's marketing channels, in all current and future media. You warrant that you hold all necessary rights to grant this license and that Your Content infringes no third-party rights, and you waive your moral rights to the maximum extent permitted by Nigerian law. Vendors retain ownership of their own brand identity and content, subject to this license.

16. Acceptable Use and Platform Security

You must not: damage, impair or create security vulnerabilities in the Marketplace; hack, probe or test its systems without written authorization; circumvent authentication or access controls; introduce malware or malicious code; scrape, mine or harvest data without our express written consent; access the Marketplace by automated means except authorized search-engine indexing; use collected data for unsolicited marketing; or interfere with the normal operation of the Marketplace or other users' experience. OBINRIN may suspend or restrict access for maintenance, security, or at its discretion.

17. Intellectual Property

All intellectual-property rights in the Marketplace, including its design, software, text and graphics, are owned by or licensed to OBINRIN, and all such rights are reserved. The OBINRIN name, logo and trademarks are the property of OBINRIN Global Venture Limited; no permission is granted for their use. Vendors retain ownership of their own brand identity and grant OBINRIN a non-exclusive license to use product images, logos and descriptions to operate and promote the Marketplace, as set out in Section 15.

18. Data Privacy and Protection

OBINRIN processes personal data in accordance with the NDPA and its Privacy Policy. By using the Marketplace, Buyers and Vendors agree to that processing, which is carried out only for the purposes set out in the Privacy Policy and with appropriate technical and organizational safeguards. Vendors are independently responsible to Buyers for any misuse of Buyer personal data that comes into their possession, must use such data solely to fulfil the specific order, and must not share, sell or transmit it to third parties. OBINRIN bears no liability to Buyers for a Vendor's misuse of personal data.

19. Compliance, KYC and Anti-Money Laundering

OBINRIN operates an anti-fraud, anti-money-laundering and know-your-customer programme consistent with the Money Laundering (Prevention and Prohibition) Act 2022 and applicable Central Bank of Nigeria regulations. You agree to provide information, documentation and reasonable access to your business premises to verify compliance, to satisfy a valid order of a Nigerian court or regulator, or as otherwise required by law. Vendors are solely responsible for their own tax, VAT and statutory obligations arising from sales on the Marketplace, and OBINRIN is not liable for any tax liability arising from a Vendor's default.

20. OBINRIN's Role and Service Availability

OBINRIN provides an online platform for Buyers and third-party Vendors. Each Vendor is exclusively and independently liable for the Products it lists and sells, and Buyers should seek recourse from the relevant Vendor under the Dispute Resolution Policy. OBINRIN commits to requiring Vendors to submit complete, accurate and current information, and Vendors warrant the accuracy of their storefronts.

OBINRIN does not warrant uninterrupted or error-free operation and is not liable for unavailability caused by force majeure, including natural disasters, cyberattacks, civil unrest, armed conflict, terrorism, epidemics or pandemics, or actions of Nigerian regulatory bodies.

Discontinuation. OBINRIN may discontinue or materially alter the Marketplace. Where this is not caused by force majeure, OBINRIN will give Buyers and Vendors no less than fifteen (15) days' prior written notice. Any discontinuation will be carried out without prejudice to Buyers' and Vendors' rights in respect of unfulfilled orders, funds held in Escrow, or other existing liabilities, and OBINRIN will provide clear guidance on completing or refunding pending transactions.

21. Limitation and Exclusion of Liability

Nothing in these Terms limits liability that cannot be excluded under Nigerian law, including for fraud or willful misconduct. Subject to that, OBINRIN's aggregate liability in respect of any contract to provide services under these Terms shall not exceed the total amount paid and payable to OBINRIN under that contract, each transaction being a separate contract.

OBINRIN is not liable for losses caused by interruption of the Marketplace; losses arising from events beyond its reasonable control; business losses including loss of profit, revenue, goodwill or opportunity; loss or corruption of data; or any special, indirect or consequential loss. For services provided free of charge, OBINRIN accepts no liability. OBINRIN's officers and employees are not personally liable to you, without prejudice to OBINRIN's liability as an entity.

22. Indemnification

You agree to indemnify and hold OBINRIN, its officers, employees, affiliates and agents harmless against all losses, damages, costs, liabilities and reasonable legal expenses arising directly or indirectly from your use of the Marketplace or breach of these Terms; your content or listings; your failure to fulfil orders; any third-party claim relating to your Products, services or conduct; or any tax or statutory liability arising from your default as a Vendor.

23. Suspension and Termination

Accounts remain active indefinitely subject to compliance with these Terms. Where OBINRIN believes a breach has occurred or is reasonably suspected, it may suspend or permanently prohibit access, block your IP address or device, suspend or delete your account, and/or commence legal proceedings. You must not attempt to circumvent any suspension, including by creating a new account. Vendors may request termination by written notice to admin@obinrin.ng.

24. Notices and Electronic Communication

You consent to receive all notices electronically, whether posted to the Marketplace or sent to your registered email. Such communications are valid written notices, deemed received on publication or transmission. You may contact OBINRIN using the details in Section 27.

25. General Provisions

Entire agreement. These Terms, with the Vendor Terms (where applicable), Privacy Policy, Returns, Refunds & Cancellation Policy and Dispute Resolution Policy, are the entire agreement between you and OBINRIN and supersede prior agreements.

Order of precedence. In any conflict, these General Terms prevail, then the Vendor Terms, then OBINRIN's platform policies.

Variation. OBINRIN may revise these Terms and policies; changes take effect on publication, and OBINRIN will endeavor to give reasonable advance notice of material changes.

Waiver, severability, assignment. No delay in enforcement is a waiver. If any provision is unenforceable it is severed and the remainder continues. OBINRIN may assign or sub-contract its rights and obligations; you may not without OBINRIN's prior written consent.

Third-party rights and links. These Terms benefit OBINRIN and the relevant user only and confer no third-party rights. Third-party links are provided for convenience only and are not endorsements; OBINRIN accepts no responsibility for third-party sites.

26. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Nigeria, including the Federal Competition and Consumer Protection Act 2018, the Nigeria Data Protection Act 2023, the Money Laundering (Prevention and Prohibition) Act 2022, and the Electronic Transactions Act. Disputes are subject to the exclusive jurisdiction of the Nigerian courts, with the place of jurisdiction in Lagos. Parties will first seek resolution through good-faith negotiation and, where applicable, OBINRIN's Dispute Resolution Policy before commencing litigation.
